The agreement between you and iMatrix Systems when you use our hardware, iMatrix Cloud, and related services.
By purchasing iMatrix hardware, using iMatrix Cloud, or otherwise using our services, you agree to these Terms of Service ("Terms") and our Privacy Policy. If you're accepting on behalf of a company, you represent you have authority to bind that company.
iMatrix provides:
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized access.
Hardware sold by iMatrix is yours from the moment of purchase. We do not loan, lease, or rent devices. There are no deactivation fees, no return obligations at contract end, and no vendor-controlled kill switches.
All devices include a 1-year hardware warranty covering manufacturing defects. Extended warranty plans are available. Damage from misuse, modification, or force majeure is not covered.

iMatrix Cloud and data plans bill monthly per device on the plan you select (Locate, Track, Command, or equivalent). Charges are in USD unless otherwise specified.
You can cancel or change plans from iMatrix Cloud at any time. Cancellations take effect at the end of the current billing period. There are no early-termination fees.
We target 99.9% uptime for iMatrix Cloud. Scheduled maintenance will be announced in advance. We do not guarantee uninterrupted service; see Section 9 for limits of liability.
You retain all rights to the telemetry and business data you generate using our services. iMatrix stores and processes that data as described in the Privacy Policy. You can export raw data or request account deletion at any time.
We may use aggregated, de-identified data to improve our services, produce benchmarks, and train models — but never in a form that identifies you or your operations.
You agree not to:
iMatrix retains all rights, title, and interest in our hardware designs, firmware, software, trademarks, and documentation. You are granted a limited, non-exclusive license to use these in connection with your subscribed services.
To the maximum extent permitted by law, iMatrix's total liability for any claim arising out of or related to the service is limited to the fees you paid to iMatrix in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.
The service is not a substitute for qualified personnel. Temperature excursions in vaccine storage, hours-of-service compliance, emergency alerts, and similar use cases require human oversight. iMatrix provides monitoring and alerting; operational decisions remain your responsibility.
You agree to indemnify and hold iMatrix harmless from third-party claims arising from your use of the service in violation of these Terms, your misuse of another party's data through our service, or your violation of applicable law.
These Terms apply for as long as you use our services. We may suspend or terminate accounts for material breach, non-payment, or unlawful use, with reasonable notice where practicable. Sections that by their nature should survive termination (IP, limitations, indemnities) will survive.
We may update these Terms as our services evolve. Material changes will be announced by email to account holders and posted here with a revised "Last updated" date. Continued use after the effective date constitutes acceptance.
These Terms are governed by the laws of the State of Nevada, USA, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts located in Nevada, unless otherwise required by applicable consumer-protection law.
